ARTICLES OF INCORPORATION

OF

HISTORIC MESQUITE, INC.

THE STATE OF TEXAS

COUNTY OF DALLAS

 

 

We the undersigned, natural persons of the age of twenty-one (21) years or more, citizens of the State of Texas, acting as incorporators of a non-profit corporation under the Texas Non-Profit Corporation Act, do hereby adopt the following Articles of Incorporation for such corporation:

Article One: The name of the Corporation shall be Historic Mesquite, Inc.

Article Two: The Corporation is a non-profit corporation.

Article Three: The period of duration of the Corporation is perpetual.

Article Four: Said corporation is organized exclusively for charitable and educational purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501 ( c ) ( 3) of the Internal Revenue Code of 1954, as amended, or the corresponding section of any future federal tax code. More specifically, but without limiting the purposes stated above, the Corporation is organized and is to be operated for the exclusive purpose of benefiting and accomplishing a public purpose of the City of Mesquite (a body politic and corporate and political subdivision of the State of Texas, existing pursuant to Acts 1963, 58th Legislature of the State of Texas, Chapter 472 (V.A.C.S. Art. 4437e), as amended, by providing the leadership to search records and build on the past to preserve the history of the community and encourage other organizations to be historically minded for the common goal of preservation.

Article Five: The affairs of the Corporation shall be managed by a Board of Directors which shall be a minimum of three (3) in number.

Article Six: The names and addresses of the persons who are the initial trustees of the corporation are as follows:

Joyce Hicks, 1515 N. Galloway Ave., Mesquite, Texas 75149.

Dr. Linda Henrie, 1515 N. Galloway Ave., Mesquite, Texas 75149.

Rebecca Franklin, 1515 N. Galloway Ave., Mesquite, Texas 75149.

Article Seven: The street address of the initial registered office of the Corporation is 1515 N. Galloway Ave., Mesquite, Texas 75149, and the name of its initial registered agent at such address is Joyce Hicks.

Article Eight: No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article Four hereof.

Article Nine: No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, this corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purposes of this corporation.

Article Ten: Upon the dissolution of the corporation, any interest in any funds of property of any kind, real, personal, or mixed, such funds or property or rights thereto shall not be transferred to private ownership, but shall be transferred and delivered, after satisfaction or provision for satisfaction of debts and claims, to the City of Mesquite.

IRS Disclosure Policy

Historic Mesquite, Inc. will, upon request, provide copies of its past three years’ Form 990s as well as its applications for tax-exempt status, or the Form 1023. Requests may be made in person, via mail, FAX or e-mail. These documents remain available for public inspection in the principal office, 1515 N. Galloway Ave., during normal hours of 8 a.m. to 5 p.m., Monday through Friday.

If copies are requested, HMI will charge $1.00 for the first page and $.15 for each additional page, plus the cost of postage. Sensitive documents such as donor lists are not subject to inspection. Requests made in person will be filled in the same working day; a request made in writing will be made within 30 days.

If staff is off-campus, due to conferences, seminars, or other circumstances, in-person requests may be delayed up to five business days. If the delay would be longer than five business days, the HMI chairperson would release the records as soon as possible.

Only in the event of a harassment campaign will HMI be exempt from complying with IRS rules. If HMI fails to comply, the organization and the manager would be subject to penalties under Code Section 6652 (C)(1)(C) and (D).
